SMRT DESIGN – TERMS & CONDITIONS

1. SERVICE DEFINITION

Smart Design provides online interior design services only, including:

  • Conceptual layouts

  • Moodboards

  • 3D renderings

  • Design drawings (non-engineering, non-construction)

  • Curated shopping lists

All services are:

  • Conceptual

  • Aesthetic

  • Advisory

Smart Design does not provide:

  • Architectural or engineering services

  • Construction documentation

  • Site supervision or inspections

  • Procurement or installation services

2. DESIGN INTENT & NON-RELIANCE

All deliverables are intended for design guidance and visual planning only.

Any implementation must be reviewed and executed by qualified professionals.

Smart Design is not responsible for:

  • Structural integrity

  • Safety or regulatory compliance

  • Technical feasibility

Any implementation guidance provided is non-technical and aesthetic only.

3. CLIENT DATA, MEASUREMENTS & SITE CONDITIONS

All work is based entirely on Client-provided information.

The Client is solely responsible for:

  • Accurate measurements

  • Complete site details (including columns, beams, outlets, HVAC, etc.)

  • Photos and references

Smart Design does not verify site conditions.

Any redesign required due to:

  • Incorrect measurements

  • Missing or inaccurate information

→ Will be treated as additional scope and billed accordingly

4. INTELLECTUAL PROPERTY

All deliverables remain the exclusive intellectual property of Smart Design.

Upon full payment, the Client is granted:

  • A non-exclusive, non-transferable, perpetual license

  • For personal use only

  • For the specific project location only

This license becomes irrevocable upon full payment, unless:

  • Terms are breached

  • Payment is reversed or disputed

5. PERMITTED & PROHIBITED USE

The Client may:

  • Use the design for their own property

The Client may not:

  • Reuse the design for other properties

  • Sell, distribute, or replicate the design

  • Use the design for commercial development

  • Share with third parties for reproduction

6. PAYMENT TERMS

  • Full payment is required before work begins

  • Work is scheduled only after payment is confirmed

Failure to pay or chargebacks:

  • Immediately suspend the project

  • Void usage rights

7. REFUND POLICY

Due to the customized nature of the service:

  • Before work starts → Full refund

  • After concept delivery → 50% non-refundable

  • After final design delivery → 100% non-refundable

Refunds are based on work stage completion, not subjective satisfaction.

8. REVISIONS POLICY

Each project includes a defined number of revisions.

A “revision” includes:

  • Minor adjustments to layout, materials, or styling

A “revision” does NOT include:

  • Complete redesign

  • Change of concept direction

  • Additional rooms or spaces

These will be treated as new scope and billed separately.

Revision Window:

The Client must submit revision requests within 14 calendar days of each design delivery.

If no feedback is received within this period:

→ The design will be considered approved

Requests submitted after this period:

→ May be accepted at Smart Design’s discretion

→ May be treated as additional scope

Timely feedback is required to maintain project timelines.

9. THIRD-PARTY DISCLAIMER

Smart Design is not responsible for:

  • Contractors

  • Suppliers

  • Vendors

  • Delivery services

All third-party engagement is solely between the Client and provider.

10. SHOPPING LIST & PRODUCT DISCLAIMER

Shopping lists are based on availability at the time of design.

Smart Design does not guarantee:

  • Product availability

  • Pricing accuracy

  • Delivery timelines

If an item becomes unavailable within 48 hours of final delivery, Smart Design will provide one complimentary re-selection per item.

After this period:

→ Re-selections are considered additional services

The Client is responsible for:

  • Verifying dimensions

  • Ensuring items fit through entryways, elevators, and spaces

  • Confirming finishes and materials

11. RENDERINGS DISCLAIMER

Renderings are:

  • Visual representations only

  • Not exact real-life outcomes

Variations in lighting, materials, and finishes are expected.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Smart Design is not liable for:

  • Indirect or consequential damages

  • Loss of profits

  • Construction or execution issues

  • Third-party failures

Total liability is limited to:

→ The total amount paid for the service

13. INDEMNIFICATION

The Client agrees to indemnify and hold harmless Smart Design from any claims arising from:

  • Use of the design

  • Implementation or construction

  • Third-party interactions

14. FORCE MAJEURE

Smart Design is not liable for delays caused by:

  • War

  • Government restrictions

  • Supply chain disruptions

  • Natural events

15. TERMINATION

Smart Design may terminate the project if:

  • Client is unresponsive

  • Client breaches terms

  • Payments are delayed

Refunds will follow Section 7 (Refund Policy).

16. DISPUTE RESOLUTION FIRST

The Client agrees to:

  • Raise any concerns directly with Smart Design

  • Allow 14 days for resolution before making public claims

17. CONFIDENTIALITY & PORTFOLIO RIGHTS

Client information is treated as confidential.

Smart Design may use:

  • Renderings

  • Project visuals

For portfolio and marketing purposes, without revealing personal identity, unless requested otherwise in writing.

18. DIGITAL ACCEPTANCE

The following constitute legally binding acceptance:

  • Payment

  • Checkbox agreement

  • Email confirmation

19. GOVERNING LAW

This Agreement is governed by the laws of Dubai, United Arab Emirates.

20. DISPUTE RESOLUTION

All disputes shall be resolved through:

  1. Good faith negotiation

  2. Arbitration in Dubai

21. SEVERABILITY

If any provision is found invalid, the remaining provisions remain enforceable.

22. CLIENT APPROVAL & SIGN-OFF

Upon delivery of the final design:

  • The Client is responsible for reviewing all details carefully

  • Approval (written or implied) confirms satisfaction

Once approved:

  • Smart Design is not responsible for any omissions or changes requested afterward

  • Any further modifications will be treated as new scope

23. COMMUNICATION & RESPONSE TIME

Smart Design operates during standard business hours.

Typical response time is 1–2 business days.

Excessive or fragmented communication may impact timelines.

Welcome to Smart Design.

We are pleased to help you transform your space through our specialized online interior design services. These Terms of Use (“Agreement”) form a legally binding contract between you (“Client”) and Smart Design (“Company”).

By purchasing a design package or using our website, you confirm that you have read, understood, and agree to be bound by these terms. You must be at least 18 years of age to use our services.

1. SCOPE OF ONLINE SERVICES

Smart Design provides digital-only interior design services.

All deliverables are conceptual and aesthetic in nature, intended to provide visual guidance.

Included:

  • Concept moodboards

  • 3D renderings

  • Floor plans (non-technical)

  • Curated shopping lists

Excluded:

  • Architectural drawings

  • Structural or engineering services

  • Site inspections

  • Contractor coordination or supervision

Any implementation of the design must be reviewed and executed by a qualified local professional.

Smart Design does not guarantee structural feasibility, code compliance, or technical performance.

2. REFUND POLICY (STAGED PROTECTION)

Due to the customized nature of digital design services, refunds are based on project stage completion, not subjective satisfaction.

  • Pre-Work: 100% refund if requested before any design work or consultation has begun

  • Post-Concept: 50% non-refundable once initial concepts or moodboards are delivered

  • Final Delivery: 100% non-refundable once final renderings or shopping lists are delivered

Company Error:

If Smart Design is unable to deliver the agreed final package due to internal error, a refund may be issued at the Company’s sole discretion.

3. CLIENT RESPONSIBILITIES & PROJECT STATUS

Our designs rely entirely on Client-provided information.

Accuracy:

The Client is responsible for providing accurate measurements and complete site details (including structural elements, outlets, HVAC, etc.).

Smart Design is not liable for inaccuracies or fitment issues resulting from incorrect or incomplete information.

Project Inactivity:

If the Client is unresponsive for more than 21 consecutive days, the project will be considered:

→ Approved and Closed

→ All work completed to date will be deemed accepted

→ No refunds will be issued

4. REVISIONS & FEEDBACK

Each package includes a defined number of revisions.

Definition:

A revision includes minor adjustments to materials, layout refinements, or styling changes.

Revisions do not include:

  • Full redesign

  • Change of concept direction

  • Additional rooms or spaces

Revision Window:

Revision requests must be submitted within 14 days of delivery.

After this period:

→ The design is considered approved

→ Any further changes are treated as new scope

5. SHOPPING LISTS & THIRD PARTIES

Smart Design provides curated product recommendations for convenience only.

Availability:

Product availability and pricing may change at any time.

If an item is unavailable within 48 hours of final delivery, one complimentary alternative will be provided.

After this period:

→ Additional sourcing is treated as a separate service

Fitment Responsibility:

The Client is responsible for verifying that items fit within the space, including doorways, elevators, and access points.

6. INTELLECTUAL PROPERTY & PORTFOLIO

All designs remain the intellectual property of Smart Design.

Upon full payment, the Client is granted:

  • A non-exclusive, non-transferable, perpetual license

  • For personal use only

  • For the specific project location only

The Client may not reproduce, resell, or distribute the design.

Portfolio Use:

Smart Design may use project visuals for marketing and portfolio purposes. No personal identifying details will be disclosed without consent.

7. PRIVACY & COOKIES

Smart Design collects personal information (name, email, project data) solely to provide services.

We take reasonable measures to protect your information and do not sell personal data to third parties.

Our website uses cookies to enhance user experience and analyze performance. By using the site, you consent to this use.

8. LIMITATION OF LIABILITY

Smart Design’s total liability for any claim is limited to the total amount paid for the service.

We are not liable for:

  • Construction or installation errors

  • Contractor performance

  • Product delays or defects

  • Structural or technical issues

9. GOVERNING LAW & DISPUTES

This Agreement is governed by the laws of Dubai, United Arab Emirates.

Resolution Process:

  • Clients must contact Smart Design and allow 14 days for resolution

  • If unresolved, disputes will be settled via arbitration in Dubai
